Terms of Service

Effective Date: April 4, 2026

1. Acceptance of Terms

By accessing or using InsureIntel (the “Service”), operated by InsureIntel (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not use the Service.

2. Description of Service

InsureIntel is a subscription-based competitive intelligence platform for the property and casualty (P&C) insurance industry. The Service provides automated monitoring of SEC EDGAR filings, AI-powered analysis of earnings language and financial disclosures, carrier financial benchmarking, and competitor comparison reports. All data is derived from publicly available SEC filings and carrier investor relations materials.

3. Account Registration

To use the Service, you must create an account through our authentication provider, Clerk. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You must notify us immediately at support@insureintel.com if you become aware of any unauthorized use of your account.

You must be at least 18 years of age to create an account. Each account is for a single individual user and may not be shared with others.

4. Free Trial

We offer a 14-day free trial that provides full access to all Service features. No credit card is required to start a trial. At the end of the trial period, your access to premium features will be restricted until you subscribe to a paid plan. We reserve the right to modify or discontinue the free trial at any time without notice. Each individual is limited to one free trial.

5. Subscription Plans, Billing, and Refunds

The Service is offered under two subscription plans: a monthly plan at $99 per month and an annual plan at $79 per month (billed annually at $948 per year). All payments are processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis at the applicable rate.

Subscriptions renew automatically at the end of each billing cycle (monthly or annually) unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period, and you will retain access to the Service until that date.

Monthly subscriptions are non-refundable. For annual subscriptions, you may request a full refund within 14 days of your initial purchase. After 14 days, annual subscriptions are non-refundable, and no pro-rata refunds will be issued for the remaining term. To request a refund, contact support@insureintel.com.

We reserve the right to change our pricing at any time. If we change the price of your current plan, we will notify you at least 30 days in advance. The new price will apply at the start of your next billing cycle following the notice period.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Attempt to reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Service.
  • Scrape, crawl, or use automated means to extract data from the Service beyond its intended functionality.
  • Redistribute, resell, sublicense, or make available the Service or any data, reports, or analyses obtained through the Service to third parties, whether for commercial or non-commercial purposes, without our prior written consent.
  • Interfere with or disrupt the integrity or performance of the Service or its infrastructure.
  • Attempt to gain unauthorized access to any part of the Service, other users' accounts, or any systems or networks connected to the Service.
  • Use the Service in a manner that imposes an unreasonable or disproportionately large load on our infrastructure.
  • Share your account credentials with any third party or allow multiple individuals to use a single account.

7. Intellectual Property

The Service, including its design, software, algorithms, AI models and their outputs, visual interfaces, documentation, and all content generated by or through the Service (collectively, “InsureIntel Materials”), is owned by InsureIntel and is protected by copyright, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service and InsureIntel Materials solely for your own internal business purposes during your active subscription period.

The underlying SEC filings and public data sources used by the Service are in the public domain. Our intellectual property rights extend to our proprietary analysis, formatting, presentation, AI-generated insights, and the software that produces them.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, OR NON-INFRINGEMENT.

INSUREINTEL IS NOT AN INVESTMENT ADVISORY SERVICE. Nothing provided through the Service constitutes investment advice, financial advice, trading advice, or any other sort of professional advice. The data, analyses, reports, and AI-generated insights available through the Service are for informational purposes only. You should not make any investment, financial, or business decision based solely on the information provided by the Service. Always consult with a qualified professional before making investment or business decisions.

We do not guarantee the accuracy, completeness, timeliness, or reliability of any data or analysis provided through the Service. While we source data from public SEC EDGAR filings and carrier investor relations pages, we make no representations about the accuracy of the underlying source data or our processing and analysis thereof. AI-generated content may contain errors, omissions, or inaccuracies.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INSUREINTEL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless InsureIntel and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of any third party.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Without limiting the foregoing, we may terminate your account if we reasonably believe you have violated these Terms, if your account has been inactive for an extended period, or if we discontinue the Service. Upon termination, your right to use the Service ceases immediately. Sections 7 through 14 of these Terms shall survive termination.

You may terminate your account at any time by canceling your subscription and contacting us at support@insureintel.com to request account deletion.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

Before initiating any formal legal proceeding, you agree to first attempt to resolve the dispute informally by contacting us at support@insureintel.com. We will attempt to resolve the dispute informally within 30 days. If the dispute is not resolved within that period, either party may proceed with formal proceedings.

14. General Provisions

These Terms constitute the entire agreement between you and InsureIntel regarding the Service and supersede all prior agreements and understandings. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
